By accessing or using the Omniware platform and services ("Service") provided by Omniware Ltd ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.
2. Description of Service
Omniware provides a software platform for Amazon sellers that includes reporting and analytics, profit tracking, and Amazon advertising management tools. The Service connects to third-party platforms including Amazon Seller Central and Amazon Advertising via authorised APIs.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.
4. Authorised Use of Third-Party Platforms
When you connect your Amazon accounts to our Service, you authorise Omniware to access your Amazon data solely for the purpose of providing the Service. You confirm that you have the right to grant this access and that doing so does not violate any agreements you hold with Amazon or any other party.
We access Amazon data only to the extent necessary to deliver the features you have enabled. We do not sell, share, or use your Amazon data for any purpose beyond providing and improving the Service.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of Amazon's terms of service
- Attempt to gain unauthorised access to any part of the Service or its related systems
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
- Use the Service to transmit any malicious code or harmful content
- Resell, sublicense, or otherwise make the Service available to third parties without our express written consent
6. Subscription and Payment
Access to certain features of the Service may require a paid subscription. Subscription fees are billed in advance and are non-refundable except as required by law. We reserve the right to change pricing with reasonable notice. Continued use of the Service after a price change constitutes your acceptance of the new price.
7. Data and Privacy
Our collection and use of your data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to our data practices as described in the Privacy Policy.
8. Intellectual Property
The Service, including all software, content, and design, is owned by Omniware Ltd and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the Service as described herein.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We are not responsible for any issues arising from third-party platform changes, API availability, or data accuracy from Amazon or other connected services.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Omniware Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you have paid us in the twelve months preceding the claim.
11. Termination
We may suspend or terminate your access to the Service at any time if you breach these Terms or if we decide to discontinue the Service. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by a notice within the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
